These Terms are an agreement between you and Menuline ("Menuline," "we," "us") for using menuline.ai, the Menuline dashboard, our free tools, and restaurant websites, apps, and ordering pages powered by Menuline (the "Services"). By using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for a business, you confirm you can bind that business.
1. The Services
Restaurants ("merchants") use Menuline to run a website, take commission-free online orders, accept payments, and market to their customers. Diners use it to order from those restaurants. You must be at least 18 to create an account or place an order.
2. Accounts
Keep your login details secure. You are responsible for activity under your account, including by team members you invite. Tell us right away at hello@menuline.ai if you suspect unauthorized access.
3. Plans and billing (merchants)
- Plans are billed monthly in advance at the price shown when you sign up, plus any taxes. Introductory pricing, such as $1/month for the first 3 months, ends automatically after its stated period, and the regular price then applies.
- Subscriptions renew each month until you cancel. You can cancel anytime, and cancellation takes effect at the end of the current billing period. We don't refund partial months.
- We will give at least 30 days' notice before changing your plan's price.
- If a payment fails, we may pause paid features until it's resolved.
4. How order payments work
- We collect, then pay out. When a diner pays for an online order, Menuline collects the payment through our payment processor, Stripe, on the restaurant's behalf. We then send the restaurant its share to the bank account connected in its dashboard, in regular payouts. A payout is sent once the balance reaches the minimum shown in the dashboard.
- What the restaurant receives is what the diner paid for its food, taxes, and tips. The diner platform fee goes to Menuline. Refunds, chargebacks, and any payment fees shown in the dashboard are deducted.
- 0% commission. Menuline doesn't take a percentage of a restaurant's direct online orders on any plan.
- Diner platform fee. Diners pay a 5% platform fee on online orders. It is shown at checkout before they pay, and it helps cover the cost of the Services, including support.
- Refunds and disputes. The restaurant handles refunds and order problems. Refunds, chargebacks, and related processor fees are deducted from the restaurant's payouts. If a balance is negative, we may recover it from future payouts.
- Stripe. Merchants must complete Stripe's onboarding and agree to Stripe's Connected Account Agreement. We may hold or delay payouts to investigate suspected fraud or a Stripe or legal requirement.
- Taxes. Each restaurant is responsible for the taxes on its sales and for setting correct tax rates in its settings.
5. Restaurant responsibilities
Merchants are responsible for their menus, prices, hours, photos, and allergen and dietary information. They are also responsible for preparing and delivering orders safely, following food, licensing, and consumer laws, only emailing customers who have consented, and having rights to everything they upload.
6. Diners
When you order through the Services, you are buying from the restaurant, not Menuline. The restaurant sets the menu and prices and is responsible for your food and for fixing order problems. Allergen information comes from the restaurant, so confirm directly with it if you have an allergy.
7. Content and AI features
Merchants keep ownership of their content and let Menuline host, display, and adapt it to provide the Services, for example to publish websites and menus and show them as examples of sites built with Menuline. Some features use AI to generate text, images, and reports. AI output can be wrong, so review it before you publish it.
8. Acceptable use
Don't use the Services to break the law, infringe others' rights, send spam, place fraudulent orders, interfere with the Services, or copy or resell them. We may remove content or suspend accounts that do.
9. Ending the agreement
You can stop using the Services anytime. We may suspend or close an account that breaks these Terms, doesn't pay, or creates risk for diners, restaurants, or Menuline. We'll give notice first when we reasonably can. Any balance owed to a restaurant is still paid out, minus refunds, chargebacks, and amounts it owes us.
10. Disclaimers and liability
The Services are provided "as is." We don't guarantee they will be uninterrupted or error-free, or that they will produce a particular number of orders, rankings, or sales. To the extent the law allows, Menuline isn't liable for indirect or consequential damages or lost profits. Our total liability for any claim is limited to the greater of what you paid Menuline in the previous 12 months or $100.
11. Disputes
These Terms are governed by Delaware law. Before filing a claim, contact us at hello@menuline.ai and give us 30 days to try to resolve it. Unresolved claims go to the state or federal courts in Delaware, except that either side may use small claims court.
12. Changes
We may update these Terms. For material changes, we will notify merchants by email or in the dashboard at least 30 days before they take effect.
